Terms and Conditions for Use of Awards Organiser's Trademarks and Kitemarks by Award Winners
1. Intellectual Property Rights
All intellectual property rights, including but not limited to trademarks, service marks, and kitemarks (collectively, "Marks") of the Awards Organiser, shall remain the exclusive property of the Awards Organiser at all times.
2. Written Licence Authorisation
No licence to use the Marks shall be deemed granted unless and until the Awards Organiser provides written authorisation to the award winner, specifying the terms and conditions under which the Marks may be used ("Licence Authorisation"). The granting of a Licence Authorisation is at the sole discretion of the Awards Organiser.
3. Limited Licence Grant
Subject to the Licence Authorisation and these terms and conditions, the Awards Organiser grants award winners a limited, non-exclusive, non-transferable, and revocable licence to use the applicable Marks solely in connection with promoting the award received by the winner ("Licence"). This Licence applies only to the specific award and category received by the winner and does not extend to any other awards, categories, or Marks owned by the Awards Organiser.
4. Restrictions on Use
4.1 Award winners shall not sublicense, assign, or otherwise transfer the Licence or any rights granted herein without the prior written consent of the Awards Organiser.
4.2 Award winners shall not use the Marks in any manner that may dilute, tarnish, or otherwise harm the reputation or goodwill associated with the Marks or the Awards Organiser.
4.3 The Marks shall not be altered, modified, or combined with any other mark or element without the prior written consent of the Awards Organiser.
5. Proper Attribution
5.1 Award winners shall ensure that any use of the Marks is accompanied by proper attribution to the Awards Organiser.
5.2 This includes displaying the Marks with the appropriate "®" or "™" symbol, as applicable, and providing a clear indication of the source and ownership of the Marks.
5.3 The Awards Organiser may provide specific attribution guidelines, which the award winner must follow.
6. Unauthorised Use and Remedies
6.1 If the award winner uses the Marks without obtaining the Licence Authorisation or in breach of these terms and conditions, the award winner must remove the Marks from all promotional materials, websites, and other communications within 24 hours of receiving written notice from the Awards Organiser.
6.2 The Awards Organiser reserves the right to rescind the award granted to the award winner in cases of unauthorised use or breach of these terms and conditions.
6.3 The Awards Organiser may pursue all legal remedies available, including seeking damages and injunctive relief.
7. Termination of Licence
7.1 The Licence shall terminate automatically upon the expiration of one (1) year from the date of the award announcement.
7.2 The Licence may also be terminated upon written notice from the Awards Organiser if the award winner breaches these terms and conditions or if the Licence Authorisation is withdrawn.
7.3 Upon termination, the award winner must immediately cease all use of the Marks and remove all references to the Marks from its promotional materials, websites, and other communications.
8. Indemnification
The award winner agrees to indemnify, defend, and hold harmless the Awards Organiser, its officers, directors, employees, agents, and affiliates from and against any claims, actions, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from or in connection with the award winner’s unauthorised use of the Marks or breach of these terms and conditions.
9. Governing Law and Jurisdiction
These terms and conditions shall be governed by and construed in accordance with the laws of England and Wales. Any disputes arising out of or in connection with these terms and conditions shall be subject to the exclusive jurisdiction of the courts of England and Wales.
10. Acknowledgement and Agreement
By submitting an entry to the Awards Organiser, the entrant acknowledges and agrees to be bound by these terms and conditions regarding the use of the Awards Organiser’s Marks. The entrant further agrees that any use of the Marks by the award winner is subject to obtaining the Licence Authorisation in writing from the Awards Organiser and that any unauthorised use may result in the removal of the Marks from promotional materials, websites, and other communications, as well as potential rescission of the award.
Failure to comply with these terms and conditions may result in legal consequences, including but not limited to damages, injunctive relief, and any other remedies available under applicable law.
