Terms and Conditions for Use of Awards Organizer's Trademarks and Kitemarks by Award Winners
Intellectual Property Rights All intellectual property rights, including but not limited to trademarks, service marks, and kitemarks (collectively, "Marks") of the Awards Organizer, are and shall remain the exclusive property of the Awards Organizer.
Written License Authorization No license to use the Marks shall be deemed granted unless and until the Awards Organizer provides written authorization to the award winner, specifying the terms and conditions under which the Marks may be used ("License Authorization"). The License Authorization shall be granted at the sole discretion of the Awards Organizer.
Limited License Grant Subject to the License Authorization and these terms and conditions, the Awards Organizer grants award winners a limited, non-exclusive, non-transferable, and revocable license to use the applicable Marks solely in connection with the promotion of the award received by the winner ("License"). This License is granted only for the specific award and category received by the winner and does not extend to any other awards, categories, or Marks owned by the Awards Organizer.
Restrictions on Use Award winners shall not sublicense, assign, or otherwise transfer the License or any rights granted herein without the prior written consent of the Awards Organizer. Award winners shall not use the Marks in any manner that may dilute, tarnish, or otherwise harm the reputation or goodwill associated with the Marks or the Awards Organizer.
Proper Attribution Award winners shall ensure that any use of the Marks is accompanied by proper attribution to the Awards Organizer, including the display of the Marks with the appropriate "®" or "™" symbol, as applicable, and a clear indication of the source and ownership of the Marks.
Unauthorized Use and Remedies If the award winner uses the Marks without obtaining the License Authorization or in violation of these terms and conditions, the award winner shall be required to remove the Marks from all promotional materials, websites, and other communications within 24 hours of receiving written notice from the Awards Organizer. In addition, the Awards Organizer reserves the right to rescind the award granted to the award winner due to the breach of copyright or violation of these terms and conditions.
Termination of License The License granted herein shall terminate automatically upon the expiration of one (1) year from the date of the announcement of the award, upon written notice from the Awards Organizer in the event of a breach of these terms and conditions by the award winner, or upon the withdrawal of the License Authorization. Upon termination of the License, the award winner shall immediately cease all use of the Marks and remove any and all references to the Marks from its promotional materials, websites, and other communications.
Indemnification The award winner agrees to indemnify, defend, and hold harmless the Awards Organizer, its officers, directors, employees, agents, and affiliates from and against any claims, actions, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from or in connection with the award winner's unauthorized use of the Marks or breach of these terms and conditions.
Governing Law These terms and conditions shall be governed by and construed in accordance with the laws of [Jurisdiction], without regard to its conflict of laws principles. Any disputes arising out of or in connection with these terms and conditions shall be subject to the exclusive jurisdiction of the courts located in [Jurisdiction].
By submitting an entry to the Awards Organizer, the entrant acknowledges and agrees to be bound by these terms and conditions regarding the use of the Awards Organizer's trademarks and kitemarks. The entrant further agrees that any use of the Marks by the award winner is subject to obtaining the License Authorization in writing from the Awards Organizer, and that unauthorized use of the Marks may result in the removal of the Marks from promotional materials, websites, and other communications, as well as the potential rescission of the award.
Failure to comply with these terms and conditions may lead to legal consequences, including but not limited to damages, injunctive relief, or any other remedies available under applicable law
